If you have a dispute with one or more users, you release FaultSeal (and our agents and employees) from claims, demands and damages, actual and consequential, of any kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with such disputes. You promise that any Material you provide to or through the Website or FaultSeal’s related services: (i) shall not infringe any third party’s copyright, patent, trademark, trade secret or other proprietary right or rights of publicity or privacy; (ii) shall not violate any law, statute, ordinance or regulation; (iii) shall not otherwise be defamatory, or unlawfully threatening; (iv) shall not contain any viruses, Trojan horses, worms, time bombs or other computer programming routines that are intended to damage, detrimentally interfere with, surreptitiously intercept or expropriate any system, data or personal information; and (v) are wholly owned and controlled by you.

Limit of Liability

TO THE EXTENT PERMITTED BY LAW, FAULTSEAL MAKES NO WARRANTIES OR REPRESENTATIONS WHATSOEVER IN RELATION TO THE WEBSITE OR SERVICES SUPPLIED UNDER THIS AGREEMENT, AND EXCLUDES ALL CONDITIONS, WARRANTIES AND TERMS IMPLIED BY STATUTE, GENERAL LAW, INTERNATIONAL CONVENTION OR CUSTOM.

NOTWITHSTANDING ANYTHING ELSE IN THIS AGREEMENT, IF ANY OF THE EXCLUSIONS OR LIMITATIONS SET OUT ABOVE ARE DECLARED ILLEGAL OR VOID, THEN TO THE EXTENT PERMITTED BY LAW, FAULTSEAL’S LIABILITY FOR BREACH OF A CONDITION OR WARRANTY IMPLIED INTO THIS AGREEMENT BY THE AUSTRALIAN TRADE PRACTICES ACT 1974 (OR LAWS OF SIMILAR EFFECT) IS LIMITED, AT FAULTSEAL’S DISCRETION, TO EITHER SUPPLYING, REPLACING OR REPAIRING THE GOODS OR SUPPLYING AGAIN THE SERVICES, IN RESPECT OF THE BREACH.

IN NO EVENT WILL FAULTSEAL (INCLUDING ITS AGENTS, EMPLOYEES OR CONTRACTORS) BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES (INCLUDING, BUT NOT LIMITED TO: PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES; LOSS OF USE, DATA, OR PROFITS; OR BUSINESS INTERRUPTION) HOWEVER CAUSED AND ON ANY THEORY OF LIABILITY, INCLUDING CONTRACT, STRICT LIABILITY, OR TORT (INCLUDING NEGLIGENCE OR OTHERWISE) ARISING IN ANY WAY OUT OF THE USE OF THE WEBSITE, EVEN IF IT IS AWARE OF THE POSSIBILITY OF SUCH DAMAGE OR IF SUCH DAMAGE WAS OTHERWISE FORESEEABLE. IN ANY EVENT, AND WITHOUT LIMITING THE EFFECT OF THE OTHER PROVISIONS OF THIS AGREEMENT, FAULTSEAL’S LIABILITY IN CONTRACT, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE FOR ANY LOSS OR DAMAGE, SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO FAULTSEAL DURING THE PREVIOUS 12 MONTHS OR $5000 AUSTRALIAN DOLLARS WHICH EVER IS THE LESSER.

NOTHING IN THIS AGREEMENT EXCLUDES, RESTRICTS OR MODIFIES ANY CONDITION, WARRANTY, RIGHT OR REMEDY IMPLIED OR IMPOSED BY STATUTE OR REGULATION IF IT CANNOT LAWFULLY BE EXCLUDED, RESTRICTED OR MODIFIED.

Use of the Website

FaultSeal permits you to use the facilities provided on the Website (including the email forum) to post and read information regarding the science of fault seals until this agreement ends on the terms set out below.

You may only use the Website for your own personal use. Information you obtain from the Website may be stored in computer readable form and printed out and used only for your own personal purposes. It must not otherwise be copied, published, distributed, or commercially exploited, in any form or by any method whatsoever, nor may you authorise others to do so. For the avoidance of doubt, these restrictions prohibit unauthorised framing, linking, posting in news groups and any other form of copying.

We may, in our sole discretion, add, delete or change some or all of our services at any time.

Neither this Agreement nor any use of the Website shall be deemed to create any relationship of partnership, joint venture, other joint business relationship, trust, agency or fiduciary relationship between FaultSeal and users of the Website.

FaultSeal is not in any way responsible for and does not endorse the content or conduct of any third party website or other service you may access via the Website.

System Integrity

You may not use any device, software or routine to interfere or attempt to interfere with the proper working of the Website or any activities being conducted on the Website. You may not take any action which imposes an unreasonable or disproportionately large load on our infrastructure. You may not disclose or share your password with any third parties or use your password for any unauthorised purpose.

FaultSeal believes your right to privacy is important and should be protected. You acknowledge that you have read FaultSeal’s Privacy Policy (available by clicking here: “Privacy Policy”) and agree with it. It explains FaultSeal’s policies relating to its management, security, use and disclosure of personal information covered by the Australian Privacy Act (Commonwealth). You consent to FaultSeal and those entities using your information and technical information about your use of the Website to tailor their presentations to you, facilitate your movement through the Website, or communicate separately with you to offer you marketing or promotional information. FaultSeal will take reasonable steps to protect your personal information and if it becomes aware your personal information is being collected by a third party, will ensure that the third party is aware of FaultSeal’s Privacy Policy and your privacy rights.

With respect to your Materials:

(a) You are solely responsible for your Materials. However, we reserve the right to take any action with respect to such information we deem necessary in our sole discretion.

(b) You agree to grant us a non-exclusive, world-wide, perpetual, irrevocable, royalty-free, sub-licensable right to exercise the copyright you have in your Materials, in any media now known or yet to be invented.

(c) You agree that the portion of your Materials that you provide about yourself as part of your registration is true, accurate, current and complete. You also agree to maintain and promptly update this portion of your Materials to keep it true, accurate, current and complete. In particular to register, you must provide your real name and email address. If you provide any information that is untrue, inaccurate, not current or incomplete, or FaultSeal has reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, FaultSeal has the right to suspend or terminate your use of the Website.

Intellectual Property Rights

You recognise and agree that you have no rights in or to, the whole, or any part of, the trade name "FaultSeal " or to any of the Website components or processes. You will not, except as otherwise permitted by this Agreement, disclose, make use of or otherwise infringe the intellectual property rights of FaultSeal. This promise shall survive the expiration or termination of this Agreement.

Indemnity

You hereby agree to indemnify, defend and hold us harmless for all liability, claims, damages and costs, of any nature whatsoever, including our legal fees, arising out of or in connection with a breach by you of any terms or conditions of your obligations, representations and warranties provided in this Agreement. You also agree to hold us harmless for all liability, claims, damages and costs, of any nature whatsoever, including our legal fees, arising out of or in connection with any errors, malfunctions or defects in connection with the Website.

Termination

Either party, upon 10 days written notice to the other party may terminate this Agreement without cause. We may terminate this Agreement immediately without notice, if you fail to comply with this Agreement in a material way or if we discontinue operation of the Website.

Any notices to FaultSeal shall be in writing and sent to the address provided below; notice to you may be sent to the email address you provided during the registration process, or such other addresses as specified by either party. Notice shall be deemed to be given 24 hours after the email is sent, unless the sending party is notified that the email address is invalid. Alternatively, we may give notice by mail to the address provided to us during the registration process. In such case, notice shall be deemed to be given 3 days after the date of mailing.

Assignment

Only FaultSeal is entitled to assign, in whole or in part, any of its rights or obligations under this Agreement.

Governing Law

This Agreement shall be construed and enforced in accordance with the laws of New South Wales, Australia. The Parties to this Agreement agree to submit themselves to the exclusive jurisdiction of the courts of New South Wales or the Federal Court of Australia.

Severability

If one or more provisions of this Agreement are held to be invalid, such invalidity shall not affect the other provisions hereof, and to this extent the provisions of this Agreement are intended to be, and shall be, severable.

Entire Agreement

This Agreement (including the Privacy Policy) constitutes the entire agreement between you and FaultSeal and supersedes all other agreements. No other representations or warranties are made by us, save for those contained within this Agreement.

This Agreement between you and FaultSeal is effective immediately upon you using this website. This Agreement may be amended at any time by FaultSeal posting the amended terms on the Website. It is your responsibility to regularly check these amended terms. This Agreement may not otherwise be amended unless signed by an authorised representative of FaultSeal.

Definitions

Unless otherwise indicated in this Agreement, the following terms shall be defined for the purposes of this Agreement as follows: “FaultSeal”, "us" and "we" means FaultSeal Finance Pty Ltd. (and its permitted officers, licensees and assigns and related companies and trusts including (without limitation) FaultSeal Fiinance Pty Ltd.); "you" means the party entering this agreement as a user of the Website. “Website” means the websites of FaultSeal located at (www.faultseal.com and www.faultrisk.com); and any other pages incorporating either of those addresses and “Materials” is defined collectively to mean all information or content that you provide to or through the Website, in any means either during the registration process, by email, or in any public message area or otherwise.
